Agenda item 7
Amendments to the incorporation resolution from January 2025
The original resolution referred to transferring the lease from PYC to PYC Ltd. At that point, the estimate for legal fees was very low. However, the Earl of Plymouth's estate has indicated that the transfer would incur legal fees of up to £10,000. The Flags would like to amend the original resolution so that the lease is still held by the Trustees of PYC on behalf of PYC Ltd, rather than transferring to PYC Ltd. The Trustees will still be protected by the indemnity agreement with the Club. PYC-as-was (the unincorporated association) will be dormant rather than formally dissolved.
